1. About These Terms

These Terms of Service (“Terms”) govern your access to and use of the VenueBook platform, website, and related services (collectively, the “Services”) provided by VenueBook Ltd, a company registered in England and Wales (“VenueBook”, “we”, “us”, or “our”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services. These Terms constitute a legally binding agreement between you and VenueBook Ltd under the laws of England and Wales.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts under English law to use our Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.

3. Account Registration

To access certain features of the Services, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information.
  • Keep your password secure and confidential.
  • Notify us immediately at privacy@venuebookapp.co.uk of any unauthorised use of your account.
  • Accept responsibility for all activities that occur under your account.

4. Subscription Plans and Payment

VenueBook offers subscription-based plans. By selecting a paid plan, you agree to pay the applicable fees as set out on our pricing page. All fees are quoted in Pounds Sterling (GBP) and are exclusive of VAT unless otherwise stated.

  • Subscriptions are billed in advance on a monthly or annual basis.
  • Payments are processed by our third-party payment provider. We do not store your full payment card details.
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period; no refunds are issued for unused portions of a billing period unless required by law.
  • We reserve the right to change our pricing with at least 30 days' written notice.

5. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation, including the Computer Misuse Act 1990 and the Fraud Act 2006.
  • Transmit any material that is defamatory, offensive, or otherwise objectionable.
  • Infringe the intellectual property rights of VenueBook or any third party.
  • Introduce viruses, malware, or other harmful code.
  • Attempt to gain unauthorised access to any part of the Services or related systems.
  • Engage in any conduct that disrupts or interferes with the Services.

We reserve the right to suspend or terminate your access to the Services immediately if we reasonably believe you have breached this clause.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, design, text, graphics, and logos, are owned by or licensed to VenueBook Ltd. Nothing in these Terms grants you any right, title, or interest in such intellectual property other than the limited licence to use the Services as set out herein.

You retain ownership of any data or content you upload to the platform (“Your Content”). By uploading Your Content, you grant VenueBook a non-exclusive, royalty-free licence to use, store, and process it solely for the purpose of providing the Services.

7. Data Protection

We process personal data in accordance with our Privacy Policy and applicable UK data protection law, including the UK GDPR and the Data Protection Act 2018. For data protection enquiries, contact privacy@venuebookapp.co.uk.

8. Limitation of Liability

To the fullest extent permitted by English law, VenueBook Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Our total aggregate liability to you in connection with these Terms shall not exceed the greater of (a) the total fees paid by you to VenueBook in the 12 months preceding the claim, or (b) £100.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

9. Indemnity

You agree to indemnify, defend, and hold harmless VenueBook Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your breach of these Terms, or your violation of any third-party rights.

10. Termination

We may terminate or suspend your account and access to the Services at any time, with or without cause, with reasonable notice where practicable. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall do so, including intellectual property, limitation of liability, and governing law.

11. Changes to These Terms

We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes by email or by posting a notice on our platform. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

12. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
